Terms of Service

1. Agreement to Terms

By accessing or using AlumniConnect (the "Platform"), operated by StaxxLogix ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and StaxxLogix. By creating an account, purchasing tickets, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Platform is only available to users located in the United States of America.

3. Account Security and User Responsibilities

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY AND SECURITY OF YOUR ACCOUNT.

By creating an account, you agree to:

• Create and maintain a strong, unique password of at least 12 characters including uppercase letters, lowercase letters, numbers, and special characters
• Enable Two-Factor Authentication (2FA) for enhanced account security
• Never share your account credentials with any third party
• Immediately notify us of any unauthorized access to your account
• Use a secure email address that you exclusively control
• Keep your recovery codes in a secure location
• Log out of shared or public devices after each session

IMPORTANT: THE COMPANY SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR UNAUTHORIZED ACCESS RESULTING FROM:

• Your failure to maintain adequate password security
• Your failure to enable or properly configure Two-Factor Authentication (2FA)
• Your failure to safeguard your account credentials
• Your sharing of account access with third parties
• Unauthorized access to your account due to your negligence
• Loss of tickets, funds, or access due to compromised account security
• Phishing attacks or social engineering that you fall victim to
• Malware or keyloggers on your personal devices

You acknowledge and agree that the security measures you implement for your account are entirely your responsibility. We strongly recommend enabling 2FA and using a password manager. Failure to implement adequate security measures constitutes negligence on your part, and you assume all risks associated with such failure.

4. Ticket Purchases and Refunds

All ticket purchases are final. By purchasing a ticket through the Platform, you agree to the following:

• Tickets are non-transferable unless explicitly permitted by the event organizer
• Refunds are subject to the individual event organizer's refund policy
• The Company is not responsible for event cancellations or changes made by event organizers
• You are responsible for verifying event details before purchase
• Lost tickets due to account compromise are YOUR responsibility and will NOT be replaced

TICKET LOSS DISCLAIMER: IF YOU LOSE ACCESS TO YOUR TICKETS DUE TO ACCOUNT COMPROMISE, WEAK PASSWORDS, FAILURE TO ENABLE 2FA, OR ANY OTHER SECURITY FAILURE ON YOUR PART, THE COMPANY BEARS NO RESPONSIBILITY AND WILL NOT ISSUE REFUNDS, REPLACEMENTS, OR COMPENSATION OF ANY KIND.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAXXLOGIX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from account compromise due to user negligence
• Any loss of tickets, funds, or access due to inadequate security measures
• Any damages exceeding the total amount you paid to us in the twelve (12) months preceding the claim
• Any damages arising from events outside our reasonable control
• Any claims arising from third-party event organizers' actions or inactions

You expressly acknowledge and agree that the Company shall not be liable for any damages, losses, or expenses arising from or related to your failure to maintain adequate account security, including but not limited to weak passwords, disabled 2FA, shared credentials, or compromised devices.

6. Indemnification

You agree to defend, indemnify, and hold harmless StaxxLogix and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your failure to maintain adequate account security
• Any content you submit, post, or transmit through the Platform
• Your negligent or wrongful conduct

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information on the Platform.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States of America, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Clark County, Nevada. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

This Platform is intended for use only within the United States of America. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

9. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and StaxxLogix agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Las Vegas, Nevada. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

CLASS ACTION WAIVER: YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the modified Terms.

11. Termination

We may terminate or suspend your account and access to the Platform at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Platform will immediately cease.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

13. Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and StaxxLogix regarding your use of the Platform and supersede all prior agreements and understandings.
